Terms of Service
Effective date: 5 July 2026
These Terms govern your use of Flowstate Atlas ("the Service"), operated by Flowstate Systems (Pty) Ltd (registration number K2026509159) ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you confirm you are authorised to bind that business.
1. What the Service does
Flowstate Atlas helps manufacturers map their production processes, view performance baselines, and receive improvement analysis — including optional AI-generated diagnostics. The Service produces estimates and analysis to support your decisions — including any report, brief or other output you export or print from it. It is not engineering, financial, legal or professional advice, and we do not guarantee any particular saving, result or outcome. You remain responsible for decisions you make using the Service.
2. Your account
You must provide accurate registration details and keep them up to date. You are responsible for activity under your account and for keeping your login credentials secure. Notify us promptly at support@flowstatesystems.co.za if you suspect unauthorised use. The Service is intended for business users aged 18 or older.
3. Plans, pricing and billing
We offer a free tier and two paid plans, Pro and Max:
- Free — up to 1 process map, with core mapping and per-process analysis. AI runs on the free tier consume purchased credit (see AI credits below).
- Pro — Monthly: R499 per month, including R20 of AI credit each month.
- Pro — Annual: R4749 per year, including R200 of AI credit each year.
- Max — Monthly: R749 per month, including R50 of AI credit each month.
- Max — Annual: R6749 per year, including R500 of AI credit each year.
Pro includes unlimited product lines and process maps, the quantitative mapping tools and AI line analysis. Max includes everything in Pro plus the factory-wide modules (tracking, factory loss, improvement impact and AI factory analysis). The in-app plan pages describe the current feature split in detail.
All prices are in South African Rand and include VAT where applicable. Paid plans renew automatically at the end of each billing period using your saved payment method, until cancelled. You authorise us and our payment processor to charge the applicable fee on each renewal.
AI credits. AI features consume credit (1 credit = R1). Plan credit is granted at the start of each billing period and any unused plan credit expires at the end of that period. You may buy additional credit top-ups (minimum R20); purchased top-up credit does not expire while your account is open.
Price changes. We may change prices or plan inclusions. We will give you reasonable advance notice (at least one billing cycle for existing subscribers), and changes take effect on your next renewal. Continuing to use the Service after a change takes effect means you accept the new price.
Modules. The Service is built from modules (for example mapping, tracking, analysis and dashboards). The modules available on your account depend on your plan and, where you have a Custom Builds or similar written agreement with us, on that agreement. We may enable or disable modules on your account in line with your plan and any such agreement.
4. Consultations and Custom Builds
In addition to the standard plans, we offer professional services under which a Flowstate engineer consults with you and builds, configures or extends functionality on your account ("Custom Builds"). The following applies to those services, together with the written build brief we issue for each engagement (the "Build Brief"), which forms part of these Terms for that engagement. If a Build Brief conflicts with this section, the Build Brief prevails for that engagement.
- Consultations. Scoping consultations are charged at the fee quoted when you book. Where stated at booking, the consultation fee is credited toward the price of a build that proceeds within the stated period.
- Fixed price and deposit. Each build is quoted as a fixed price in the Build Brief. Unless the Build Brief says otherwise, 50% is payable before work starts and the balance on acceptance. We may pause or decline to start work until the deposit is received.
- Acceptance. The Build Brief contains written acceptance criteria. The build is complete when those criteria are demonstrated and you confirm acceptance in writing (email is sufficient). If you use the delivered functionality in production, or do not respond to an acceptance request within 14 days of demonstration, the build is deemed accepted.
- Refinement and changes. The Build Brief states the number of included refinement rounds. Corrections needed to meet the acceptance criteria ("defects") are always made at no charge. Work beyond the acceptance criteria is new scope and is quoted separately as a written change order before it begins.
- Warranty. We will fix, at no charge, any failure of the delivered functionality to meet the acceptance criteria that you report within 30 days of go-live. Thereafter, maintenance is provided under Custom Care (below).
- Custom Care. Custom-built modules are maintained under a monthly Custom Care add-on at the rate quoted in the Build Brief. Custom Care keeps your custom modules compatible with the Service as it evolves and includes support for them.
- Requires an active subscription. Custom-built and custom-configured functionality runs on your account only while you hold an active paid subscription (and Custom Care, where applicable). If your subscription or Custom Care lapses, we may deactivate the relevant modules after a reasonable grace period. Your data always remains yours and remains exportable in line with Section 7 and our Privacy Policy.
- Ownership. All software we build — including functionality commissioned by you — is and remains our intellectual property and part of the Service platform (see Section 8). You receive the right to use it as part of the Service while subscribed; you do not acquire the code or any exclusivity in the functionality. We may generalise capability first built for you and offer it to other customers; anything specific to your business that you entered as data remains your data.
- Your role. Build timelines depend on your reasonable participation (attending reviews, giving feedback, providing sample data). If we cannot obtain the input we need for 14 days or more, we may pause the engagement and its timeline until you are available.
5. AI features
AI analysis is optional and controlled by you. You can enable or disable AI processing at any time in your account settings. When enabled, the operational data needed for the analysis is sent to our AI provider to generate results. AI outputs are estimates and may contain errors; review them before acting. See our Privacy Policy for how AI data is handled, including that your data is not used to train AI models.
6. Acceptable use
You agree not to: use the Service unlawfully or in breach of these Terms; upload content you have no right to use; attempt to gain unauthorised access, disrupt, or probe the Service; reverse engineer or copy the platform except as the law allows; scrape or harvest data; or resell, sublicense or provide the Service to third parties without our written permission.
7. Your data and content
You own the data and content you put into the Service. You grant us a limited licence to host, process and display that data solely to provide and improve the Service to you and as described in our Privacy Policy. We do not sell your data, and we do not use it for advertising or to train AI models.
8. Our intellectual property
The Service — including its software, design, models, and content we provide — belongs to us or our licensors. This includes functionality we build, configure or extend for you under a Custom Builds engagement (Section 4), which remains part of the Service platform. These Terms do not transfer any of our intellectual property to you. You may not use our name or branding without permission.
9. Availability and changes
We work to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may add, change, suspend or remove features. We may perform maintenance that temporarily limits access.
10. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose. We do not warrant that the analysis, estimates or AI outputs are accurate, complete, or suitable for your circumstances. Nothing in these Terms excludes liability that cannot lawfully be excluded, including under the Consumer Protection Act where it applies.
11. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential losses, or for loss of profit, production, revenue, data or goodwill. Our total liability arising out of or relating to the Service in any 12-month period is limited to the amount you paid us for the Service in the 3 months before the event giving rise to the claim. This limitation does not apply to liability that cannot be limited by law.
12. Indemnity
You agree to cover reasonable losses we incur arising from your unlawful use of the Service, your breach of these Terms, or content you upload that infringes a third party's rights.
13. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay, or use the Service in a way that risks harm to us or others. On termination, your right to use the Service ends; data handling follows our Privacy Policy.
14. Cancellation and refunds
You can cancel a paid plan at any time. Cancellation, renewals and refunds are governed by our Refund & Cancellation Policy, which forms part of these Terms.
15. Changes to these Terms
We may update these Terms from time to time. For material changes we will give reasonable notice (for example, by email or an in-app notice). Continuing to use the Service after changes take effect means you accept the updated Terms.
16. Governing law and disputes
These Terms are governed by the laws of South Africa. You agree to first contact us to resolve any dispute in good faith. If it cannot be resolved, the dispute is subject to the jurisdiction of the South African courts. Where the Consumer Protection Act or other mandatory law gives you additional rights, those rights are not affected.
